By using VibeNotes, you agree to these Terms and to comply with applicable laws and regulations. If you do not agree, you must not use the service.

2. About the Service

VibeNotes is a digital service operated by Vibify that allows users to create, organize, store, edit, search, and analyze notes and related content, including with the help of AI-powered features.

3. Eligibility

You may use VibeNotes only if you are legally capable of entering into a binding agreement under applicable law. If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and login methods.
• You are responsible for activity under your account, except to the extent caused by our own failure to maintain appropriate security.
• We may suspend or restrict access if we reasonably believe your account is being used unlawfully, fraudulently, or in a way that threatens the service or other users.

5. Acceptable Use

• You agree not to use VibeNotes for unlawful, fraudulent, harmful, or abusive activity.
• You agree not to interfere with or disrupt the service, bypass security measures, or attempt unauthorized access to systems or accounts.
• You agree not to use the service to store, transmit, or generate content in violation of applicable law or the rights of others.

6. Your Content

• You retain ownership of the notes, files, text, audio, links, and other content you create or upload to VibeNotes.
• You grant us a limited right to host, store, process, transmit, and display your content only as necessary to operate, secure, maintain, and improve the service and to provide features you request.
• You are responsible for ensuring that you have the rights necessary to upload and use your content in the service.

7. AI-Powered Features

• VibeNotes may provide AI-powered suggestions, summaries, semantic search, analysis, and related outputs.
• AI-generated outputs may be incomplete, inaccurate, or unsuitable for your specific situation and should be reviewed by you before reliance or use.
• You remain responsible for decisions, actions, and outcomes based on your use of AI-generated content.

8. Paid Plans, Billing, and Renewals

• Some features of VibeNotes may be offered on a paid subscription basis.
• Prices, billing currency, and available payment methods may vary by country or region.
• For users in Russia, prices and charges may be displayed and processed in Russian rubles (RUB).
• If a subscription renews automatically, the renewal terms, billing frequency, and cancellation options will be presented before purchase.
• Any mandatory rights available to consumers under applicable law remain unaffected.

9. Intellectual Property

• The VibeNotes service, including its design, software, branding, and non-user content, is owned by Vibify or its licensors and is protected by applicable intellectual property laws.
• These Terms do not transfer ownership of our service or intellectual property to you.
• You may not copy, modify, distribute, reverse engineer, or create derivative works from the service except as permitted by applicable law.

10. Service Availability, Suspension, and Termination

• We may update, improve, change, suspend, or discontinue all or part of the service from time to time.
• We do not guarantee that the service will always be uninterrupted, error-free, or available at all times.
• You may stop using the service at any time.
• We may suspend or terminate your access if you materially breach these Terms, create risk or harm for the service or others, or where required by law.

11. Privacy

Your use of VibeNotes is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal data.

12. Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, VibeNotes is provided on an "as available" basis. We do not exclude liability where exclusion is not permitted by law, including liability for fraud, willful misconduct, or other rights that cannot be lawfully limited or excluded. Subject to the foregoing, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, business opportunities, goodwill, or data arising from your use of the service.

13. Governing Law

These Terms are governed by the laws of Georgia, except where mandatory consumer protection laws of your country of residence apply and cannot be excluded by contract.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you through the service, by email, or by other appropriate means. Continued use of the service after the updated Terms take effect means you accept the updated Terms, except where applicable law requires a different process.
